Cognitive Automation Technologies, Inc. is a company registered in 651 N. Broad Street, Suite 206, Middletown, DE 19709. Cognitive Automation Technologies, Inc. Is the developer of Zepto – Intelligent timekeeping, an automated time-tracking and billing software.  

For clarity purposes, the name of our software product, Zepto – Intelligent timekeeping, will be used in these terms of use.

Zepto - Intelligent timekeeping is a software developed by Cognitive Automation Technologies, Inc. (“Us” or “We”) and provides the www.zepto-ai.com website and the www.user.zepto-ai.com webapp, in addition to various related services (collectively, the “Site”) to you (“You”), the user (“User”), subject to your compliance with all the terms, conditions, and notices contained or referenced herein (the “Terms of Service” or “TOS”), as well as any other written agreement between us and you. In addition, when using services or materials on or related to this Site, users shall be subject to any posted rules applicable to such services or materials that may contain terms and conditions in addition to those in these Terms of Service. All such guidelines or rules are hereby incorporated by reference into these Terms of Service.

BY USING OUR SITE AND ALL OUR PRODUCTS (INCLUDING THE WORD ADD-IN), YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT WISH TO BE BOUND BY THE THESE TERMS OF SERVICE, PLEASE EXIT THE SITE NOW. YOUR REMEDY FOR DISSATISFACTION WITH THIS SITE, OR ANY PRODUCTS, SERVICES, CONTENT, OR OTHER INFORMATION AVAILABLE ON OR THROUGH THIS SITE, IS TO STOP USING THE SITE AND/OR THOSE PARTICULAR PRODUCTS OR SERVICES. YOUR AGREEMENT WITH US REGARDING COMPLIANCE WITH THESE TERMS OF SERVICE BECOMES EFFECTIVE IMMEDIATELY UPON COMMENCEMENT OF YOUR USE OF THIS SITE.

These Terms of Service are effective as of the “Last Modified” date identified at the top of this page. We expressly reserve the right to change these Terms of service from time to time without notice to you. You acknowledge and agree that it is your responsibility to review this Site and these Terms of Service from time to time and to familiarize yourself with any modifications. Your continued use of this Site and related services after such modifications will constitute acknowledgement of the modified Terms of Service and agreement to abide and be bound by the modified Terms of Service. However, for any material modifications to the Terms of Service or in the event that such modifications materially alter your rights or obligations hereunder, such amended Terms of Service will automatically be effective upon the earlier of (i) your continued use of this Site and related services with actual knowledge of such modifications, or (ii) 30 days from publication of such modified Terms of Service on this service. Notwithstanding the foregoing, the resolution of any dispute that arises between you and us will be governed by the Terms of Service in effect at the time such dispute arose.

Overview of our services

1. ABOUT US

Cognitive Automation Technologies, Inc. is a software company registered in Delaware, USA, and is the developer and owner of Zepto-Intelligent timekeeping’s cloud-based platform (the “Platform”), which provides our users with automated time-tracking and billing solutions.

Zepto - Intelligent timekeeping connects via APIs to third-party services like Microsoft Outlook, Microsoft Word, Microsoft Outlook Calendar, QuickBooks Online to record the time our customers are spending in these applications.

Zepto - Intelligent timekeeping is targeting companies from professional services industry (legal, consulting, accounting, freelancers, engineering services) and helps them automate and streamline the time-tracking and billing process.  

2. DEFINITIONS

a) “Personal Information” can be defined as follows:
Personal Information means information about an identifiable individual who can be directly or indirectly identified, which does not include information of an aggregate or anonymous nature where a specific individual or individuals cannot be identified. b) Information about a corporation, firm, trust, union or other non-individual entity is not Personal Information.

3. SUBJECTS AND SOURCES OF PERSONAL INFORMATION

Zepto - Intelligent timekeeping generally processes and uses Personal Information about the following types of individuals:  

a) Zepto - Intelligent timekeeping’s customers, including employees and contractors of our customers;
b) Prospective or potential customers of Zepto - Intelligent timekeeping or their employees;
c) Subscribers to Zepto - Intelligent timekeeping newsletters, white papers or similar types of information;
d) Other individuals who may voluntarily choose to provide Zepto - Intelligent timekeeping with Personal Information.

4. PERSONAL INFORMATION WE COLLECT

OUR website and webapp

i. Information that we collect automatically: We automatically collect certain information when you visit our Website. This may include information like your IP address, device type, unique device identification numbers, browser-type, broad geographic location (e.g. country or city-level location) and other technical information. We may also collect information about how your device has interacted with our Website, including the pages accessed and links clicked. In some countries, including countries in the European Economic Area, this information may be considered Personal Information. Collecting this information enables us to better understand the visitors who come to our Website, where they come from, and what content on our Website is of interest to them. We use this information for our internal analytics purposes and to improve the quality and relevance of our Website to our visitors.

ii. Cookies and Similar tracking technology: Zepto - Intelligent timekeeping’s website server also uses cookies, which are small text files containing information sent to the computer of a visitor to our website. Some cookies are required for technical reasons for our Website to operate. Other cookies are used to help our web server track such things as user preferences that the user may submit in order to make the website more interactive with the user and more responsive to their preferences. Information stored in cookies is used to pre-populate form fields and to remember user preferences. This is done for user convenience as well as to provide us with information on which parts of our website are being viewed and by how many visitors. Many browsers have an option for disabling cookies which may prevent your browser from accepting new cookies or enable selective use of cookies.

5. RETENTION AND DESTRUCTION OF PERSONAL INFORMATION

a) We retain Personal Information we collect from you in accordance with applicable law and where we have an ongoing legitimate business need to do so (for example, to provide you with a Service you have requested or to comply with applicable legal, tax or accounting requirements). Delaware law allows us, for legal or business purposes, to retain Personal Information for as long as is reasonable. Upon expiry of an appropriate retention period, bearing in mind reasonable legal and business requirements, Personal Information will either be destroyed in a secure manner or made anonymous.

b) Should consent to our collection, use, disclosure or retention of Personal Information be revoked by the individual in question, the law also allows us to continue to retain the information for as long as is reasonable for legal or business purposes. If revocation of consent may have consequences to the individual concerned, we will advise the individual of the consequences of revoking their consent where it is reasonable in the circumstances to do so. When we collect, use or disclose Personal Information, we will make reasonable efforts to ensure that it is accurate, up to date, and complete.

6. CUSTOMER DATA

Data and information provided or created by our customers in the course of using our products or services (“Customer Data”) remains the property of our customers and is not used or disclosed by us except as reasonably required to provide our products or services, or as otherwise set out in this Policy.

7. YOUR RIGHTS: REQUESTS FOR ACCESS

Delaware law permits all individuals regardless of their geographic locations to submit written requests to us to provide them with:

a) access to their Personal Information under the custody or control of Zepto - Intelligent timekeeping;

i. Where Zepto - Intelligent timekeeping derives the custody or control of the Personal Information through its customer, the customer will be the Data Controller and all requests for access to Personal Information should be forwarded through such Data Controller to Zepto - Intelligent timekeeping.

b) information about the purposes for which their Personal Information under the custody or control of Zepto - Intelligent timekeeping has been and is being used and the names of organizations or persons to whom and the circumstances in which Personal Information has been and is being disclosed by Zepto - Intelligent timekeeping. Requests for access are subject to the following:  

i. Any requests must be in writing;
ii. We do not accept such requests or respond to such requests via e-mail;
iii. In order to receive a response to such a request, the individual must provide us with sufficient information to locate their record, if any, and to respond to them;
iv. We will respond to requests in the time allowed by Delaware law, which is generally 45 days. In certain circumstances, we may have a right to extend this period of time and will advise in writing if we are doing so;
v. We will make a reasonable effort to assist applicants and to respond as accurately and completely as reasonably possible;
vi. All requests may be subject to any fees and disbursements the law permits us to charge;
vii. Where appropriate to do so, we may require advance payment of a deposit or the entire costs of responding to a request for access to Personal Information;
viii. Please note that an individual’s ability to access his or her Personal Information under our control is not an absolute right;
ix. Delaware law provides that Zepto - Intelligent timekeeping must not disclose Personal Information where:  

1. the disclosure could reasonably be expected to threaten the safety or physical or mental health of an individual other than the individual who made the request;
2. the disclosure would reveal Personal Information about another individual; or
3. the disclosure would reveal the identity of an individual who has in confidence provided us with an opinion about another individual and the individual providing the opinion does not consent to the disclosure of his or her identity.  

x. Delaware law also provides that Zepto - Intelligent timekeeping may choose not to disclose Personal Information where:  

1. the Personal Information is protected by any legal privilege;
2. the disclosure of the information would reveal confidential commercial information and it is not unreasonable to withhold that information;
3. the Personal Information was collected by Zepto - Intelligent timekeeping for an investigation or legal proceeding;
4. the disclosure of the Personal Information might result in similar information no longer being provided to us when it is reasonable that it would be provided;
5. the Personal Information was collected or created by a mediator or arbitrator in the conduct of a mediation or arbitration for which he or she was appointed to act under an agreement, under an enactment, or by a court; or
6. the Personal Information relates to and may be used in the exercise of prosecutorial discretion.
xi. Zepto - Intelligent timekeeping reserves all its rights under the above.

8. YOUR RIGHTS: RESPONSES TO REQUESTS

Our responses to requests for access to Personal Information will be in writing and will confirm:

a) whether we are providing all or part of the requested information, whether or not we are allowing access or providing copies, and, if access is being provided, when and how that will be given;

b) If access to information or copies are refused by us, we will provide written reasons for such refusal and the section of PIPA (the Personal Information Protection Act, Delaware) on which that refusal is based. We will also provide the name of an individual at Zepto who can answer questions about the refusal, and particulars of how the requesting individual can ask the Information and Privacy Commissioner of Delaware to review our decision. In order to receive a response to such a request, the individual must provide us with sufficient information to locate their record, if any, and to respond to them.

9. YOUR RIGHTS: REQUESTS FOR CORRECTION a) Delaware law permits all individuals regardless of their geographic location to submit written requests to us to correct errors or omissions in their Personal Information that is in our custody or control. If an individual alleges errors or omissions in the Personal Information in our custody or control, we will either:  

i. corrects the Personal Information if reasonable to do so, and if not contrary to law, send correction notifications to any other organizations to whom we disclosed the incorrect information; or
ii. decide not to correct the Personal Information but annotate the Personal Information that a correction was requested but not made.  
b) Corrections or amendments will not be made to opinions as opposed to factual information, although we reserve the right to modify opinions where changes in the facts upon which those opinions are based occur.

10. RIGHTS OF EUROPEAN DATA SUBJECTS In addition, if you are a resident of the European Union, you have the following data protection rights:

a) If you wish to access, correct, update or request deletion of your Personal Information, you can do so at any time by contacting us using the contact details provided under the “how to contact us” heading below;
b) You can also object to processing of your Personal Information, ask us to restrict processing of your Personal Information or request portability of your Personal Information. Again, you can exercise these rights by contacting us using the contact details below;

c) Where Zepto - Intelligent timekeeping derives the custody or control of the Personal Information through its customers, the customer will be the Data Controller and all requests for access to Personal Information should be forwarded through such Data Controller to Zepto - Intelligent timekeeping;

d) You have the right to opt-out of marketing communications we send you at any time. You can exercise this right by clicking on the “unsubscribe” or “opt-out” link in the marketing e-mails we send you. To opt-out of other forms of marketing (such as postal marketing or telemarketing), then please contact us using the contact details provided below. For Canadian citizens, in accordance with Canada Anti-Spam Legislation, if you wish to receive marketing communications from us, you have the right to opt-in at the time of signing up for the services on our website;

e) Similarly, if we have collected and process your Personal Information with your consent, then you can withdraw your consent at any time. Withdrawing your consent will not affect the lawfulness of any processing we conducted prior to your withdrawal, nor will it affect processing of your Personal Information conducted in reliance on lawful processing grounds other than consent;

f) You have the right to complain to a data protection authority about our collection and use of your Personal Information. For more information, please contact your local data protection authority. (Contact details for data protection authorities in the European economic area, Switzerland and certain non-European countries (including the US and Canada) are available here); g) We respond to all requests we receive from individuals wishing to exercise their data protection rights in accordance with applicable data protection laws

Minimum configuration requirements

You may agree to a one (1) month or twelve (12) month contract agreement to use Zepto - Intelligent timekeeping.

You can opt to upgrade or downgrade your service agreement to any other contract agreement that Zepto - Intelligent timekeeping is currently offering for sale at any time during your contract term. To the extent you use a Service plan that is made available for a fee, you will be required to select a payment plan and provide accurate information regarding your credit card or another payment instrument.

You will promptly update your account information with any changes in your payment information. You agree to pay for Zepto - Intelligent timekeeping in accordance with the terms set forth on the Site and these TOS, and you authorize Zepto - Intelligent timekeeping or its third-party payment processors to bill your payment instrument in advance on a periodic basis in accordance with such terms. If you dispute any charges you must let Zepto - Intelligent timekeeping know within sixty (60) days after the date that Zepto - Intelligent timekeeping bills you. All amounts paid are non-refundable and we reserve the right to change our prices in the future. If we increase our prices for your Service plan, we will provide notice of the change on the Site and in email to you at least 30 days before the change is to take effect.

Your continued use of the Service after the price change goes into effect constitutes your agreement to pay the changed amount. Zepto - Intelligent timekeeping may choose to bill you through an invoice, in which case, full payment for invoices issued must be received by the date specified in the invoice. Past due fees are subject to a finance charge of 1.5% per month on any outstanding balance, or the maximum permitted by law, whichever is lower, plus all expenses of collection. You shall be responsible for all taxes associated with Services other than U.S. taxes based on Zepto - Intelligent timekeeping net income. At the end of the contract term, your contract will automatically renew for an additional contract term until explicitly cancelled by you. Cancellation must be issued via your account at www.user.zepto-ai.com. Any cancellation issued via the w be done at least one (1) day prior to the end of the contract term. Any cancellation not issued via www.user.zepto-ai.com must be done five (5) days prior to the end of the contract term to allow for adequate processing time. Only Services and features clearly indicated as “free” or “no charge” are free or without charge.

All other applications, features, functionality, and support provided by Zepto - Intelligent timekeeping are provided for the fees described for each service on the Site (“Fees”) and you are liable for such Fees.

If you purchase any Services that we offer for a Fee, you agree to Zepto - Intelligent timekeeping, or our third-party payment providers, storing your payment card information. You expressly agree that we are authorized to charge you (i) a monthly Fee for any applicable Services billed on a monthly basis, (ii) any other Fees for Services you may purchase, and (iii) any applicable taxes in connection with your use of the Services to the payment card you provide and to reimburse us for all collection costs and interest for any overdue amounts. If the payment card you provide expires and you do not provide new payment card information or cancel your account, you authorize us to continue billing you and you agree to remain responsible for any uncollected Fees.

Third-party payment processors

Zepto - Intelligent timekeeping uses third party payment processors to assist it in processing your personally identifiable payment information securely. Such third-party processors are required to have a privacy policy and security standards in place that are at least as protective of your information as those in our Privacy Policy.

Payments are currently processed and managed using the third-party vendors below. We will inform you which payment processors are used when processing your payments. We are using Stripe (www.stripe.com) as our Third-party payment processor, and you can read their privacy policy here: www.stripe.com/privacy.

Term and Termination This TOS will continue in full effect unless and until your account or this TOS is terminated as described herein. Service plans that are paid monthly will automatically renew for additional months, and Service plans that are paid annually will automatically renew for additional years. You have the right to deactivate your account at any time by using the account deactivation interface provided at www.user.zepto-ai.com.

Monthly memberships can be deactivated at any time with no additional fees. If you deactivate, you will be charged for that month’s service (as well as all prior months of service), but we will not charge you for the month following the month in which you deactivate. Customers will lose access to Amy immediately following deactivation. Subscriptions may be deactivated by logging into your account at www.user.zepto-ai.com,.

Termination of Service

We may modify, replace, refuse access to, suspend or discontinue the Services, partially or entirely, or add, change and modify prices for all or part of the Services for you or for all our users at any time and in our sole discretion. All these changes shall be effective upon their posting on the Site or by direct communication to you unless otherwise noted. We may cancel your monthly membership for any or no reason immediately upon notice to you but, if we do, we will give you a prorated refund at the standard monthly rate for any time period for which you have already paid. Moreover: Services may be terminated by us, without cause, at any time. Services may be terminated by you, without cause, by following the cancellation procedures set forth in the Term and Termination section. Zepto - Intelligent timekeeping may terminate Services at any time, without penalty and without notice, if you fail to comply with any of the terms of this Agreement or the intellectual property protections applicable to these Services. Notice of termination of Services by Zepto - Intelligent timekeeping may be sent to the contact email associated with your account. Upon termination, Zepto - Intelligent timekeeping has the right to delete all data, files, or other information that is stored in your account.

Rules

To ensure the quality of the Zepto - Intelligent timekeeping experience we have set up our Terms of Service for our mutual benefit. If you violate these rules it will mean you’ve broken the terms of service and this may result in termination of your account. You agree to all of the following: You hereby certify that you are at least 18 years of age. Individuals under the age of 18 are prohibited from using the Site and Services. You will ensure the email address provided in your account registration is always valid and will keep your contact information accurate and up to date.

You will not use the Services for any unlawful purposes or to conduct any unlawful activity, including, but not limited to, fraud, embezzlement, money laundering or insider trading. You will not use the Services or Site if you are in a country embargoed by the U.S. or are on the U.S. Treasury Department’s list of Specially Designated Nationals. You will not use the Services or Site to impersonate another person. You will not use the Service or Site to upload, post, transmit, or otherwise make available any unsolicited or unauthorized advertising, cold sales emails, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of -solicitation. You may not send messages using the Service which do not correctly identify the sender and you may not alter the attribution of origin in electronic mail messages or postings. You will not share your password, let anyone else access your account, or do anything that might jeopardize the security of your account. You verify that your country of residence is the same as your billing address.

Zepto - Intelligent timekeeping has a zero-tolerance policy for abusive language and/or abusive behavior towards our company, the Service we provide and/or our employees. Any customer deemed at our sole discretion to be abusive will result in immediate irrevocable account termination without refund. Threats to sue, slander, libel, etc. will all be considered abuse. Zepto - Intelligent timekeeping may determine in its sole discretion whether or not an account is in violation of any of these policies. Violation of any of these policies may result in user information tracking with such information being stored to identify the offending user. Offending users may be permanently restricted from holding an account or using the Services. If Zepto - Intelligent timekeeping reasonably determines that your account is being used for illegal or fraudulent activity then your account may be immediately terminated and your financial data erased. We may also report you to law enforcement officials in the appropriate jurisdictions.

Additional services

Your offer depends upon additional services or accounts for full functionality but does not disclose these dependencies in the description. Please update the description and re-submit your offer.  Your offer contains features which are unlocked through the purchase of a license or additional services. If your product offers in-app purchases, you must select the "My product requires purchase of a service or offers additional in-app purchases" check box when submitting your offer via Partner Center. Please update your offer as required and resubmit.

Additional Service and Account disclosures

Zepto - Intelligent timekeeping requires access to your Microsoft, QuickBooks and RingCentral accounts to pull data and process it, in order to be able to deliver the services. Zepto - Intelligent timekeeping does not store the data from these accounts. Zepto - Intelligent timekeeping is processing the data from these accounts in order to be able to offer the service.

Disputes

The formation, interpretation and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of the state of Delaware without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of the United States of America. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the state and federal courts located in Newark, Delaware, USA and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement.

Notices

Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms of Service, will be in writing and given: by Zepto (i) via email (in each case to the address that you provide) or (ii) by posting to the Application or Site. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.

Microsoft Word Add-in
To improve the accuracy of time-tracking, and to be able to easily assign clients and matters to Word Documents, the user can download the Zepto - Intelligent timekeeping Microsoft Word Add-in.

The Zepto - Intelligent timekeeping Word Add-in will be downloaded at no costs from the Microsoft Store

Microsoft Outlook Add-in
To improve the accuracy of time-tracking, and to be able to easily assign clients and matters to emails in Microsoft Outlook, the user can download the Zepto - Intelligent timekeeping Microsoft Outlook Add-in.
